Counsel, Lending Transactions - Durham, NC

POSITION SUMMARY
The Counsel, Lending Transactions (the “Counsel”) works in a dynamic and fast-paced environment to draft, review and negotiate loan documents for the Bank’s secured lending transactions with its customers. The Counsel also will take a lead role in documentation/ general legal maintenance of the Bank’s secured lending portfolio. Depending on experience and department bandwidth, the Counsel may also have a role in workout/restructuring of troubled credits.
ESSENTIAL JOB FUNCTIONS:
* Draft, review and negotiate a broad range of agreements (including, but not limited to, credit agreements, amendments, subordination/intercreditor agreements, guaranties, waivers and forbearances) in line with corporate policy and approved credit and business terms
* Work closely with Credit Administration (particularly Senior Risk Managers) to provide deal structuring advice at the outset of a customer relationship
* Ensure loan documents comply with Square 1 business practices and credit approvals
* Assist venture bankers in review of loan documentation and resolve any issues or discrepancies noted
* Work with multiple internal and external customers to facilitate prompt deal closure
* Work on policies and procedures for the Loan Documentation Department as needed to maximize effectiveness in light of changes in legal framework, loan growth and/or organizational structure
* Review of paralegal work, including amendments
* Develop a collateral file management system in cooperation with Loan Documentation Department paralegals.
* Review due diligence generated by Loan Documentation Department paralegals, including UCC lien searches, Intellectual Property searches, title documents etc.
* Work with Borrower, paralegals and vendors to ensure perfection of the Bank’s security position
* Provide periodic training to other bank personnel on substantive loan documentation issues
* Assist Loan Operations Department in departmental initiatives
* Depending on experience and department bandwidth, work with the VP, Associate General Counsel on workout/troubled credit matters, including foreclosure and bankruptcy
* Other duties as assigned.
Job Requirements :
JOB SPECIFICATIONS:
* J.D. degree from an ABA-accredited law school, and admission to practice law in one or more states
* Required experience: 2 – 5 years experience in lending transactions, preferably in a large law firm or in-house environment working with early-stage companies or venture funds
* Preferred experience: workout/restructuring of trouble credits, UCC foreclosure, bankruptcy
* Ability to work autonomously within a multi-disciplinary, high-functioning team
* Ability to handle multiple transactions simultaneously
* Passionate about working in a fast-paced, open, flexible team environment
* Strong negotiation, leadership, interpersonal and communication skills
* Excellent organizational, analytical, verbal, and writing skills
* Ability to make confident, supportable decisions in time sensitive situations
* Ability to balance legal/contractual issues with business risk
* Ability to travel as required
